2.2 The production equipment, products, raw materials and office furniture, office supplies and other office productions and items under the name of Sida Company have been stripped from this company, owned by Party A personally. The details are as followed:

2.3 The claims and liabilities before the equity transfer of Sida Company except for the bank loans of RMB 4.9 million shall be divested from this company, and accepted and handled by Party A personally, but after the equity transfer, in the case there is any need for assistance by Party B and Sida Company, Party B and Sida Company shall assist Party A.
2.3.1 Sida Company has gotten a loan of RMB 4.9 million (RMB FOUR MILLION NINE HUNDRED THOUSAND) from Tianfujie Sub-branch, Fushan District, of XXXXXXXXXXXXXXXXXXXXXXXXXXXX, taking the plant as a mortgage guarantee. [See the copy of Loan Contract].
