甲乙双方就房屋买卖事宜，经友好协商，自愿达成如下协议：

Through friendly negotiation, Party A and Party B voluntarily reach the following agreement concerning house purchase and sales:

一、甲方自愿将位于XX房产出售给乙方，产权证号XX，产权面积为XX平方米，国土证号XXX，使用性质住宅，乙方对该房产已经充分了解并自愿购买。该房屋的国土使用权同时也转让给乙方。

I.Party A agrees to sell the house property at XXX to Party B. The property certificate No. of the house is XXXX, the property area is 110.55 m2, the land certificate No. is Tian State-use XXX, and the nature of use is residence. Party B has enough knowledge about the house property and voluntarily purchases it. The right to use the land of the house is also transferred to Party B simultaneously.

二、双方协定该房屋的成交价格为人民币（大写）肆拾柒万元，付款时间和付款方式具体为：

1. 2008年5月21日付定金肆万伍仟元；

2. 2008年5月21日付定金伍万伍仟元；

2. Make the payment of Fifty-five Thousand Yuan (￥55,000.00 Yuan)for the purchase of the house on May 21, 2008.

3. 立契日付清余款叁拾柒万元；

三、合同签订三日内，甲乙双方应到长沙市房地产交易所办理房屋过户手续（双方均应到交易所验证、签字），过户手续具体由中介方承办，甲乙双方应协助办理，过户所产生的费用由乙方支付，签订本合同同时，由乙方交纳中介费人民币玖仟肆佰元。

III.Within three days after the signing of the contract, Party A and Party B shall go to Changsha Real Estate Exchange to handle the transfer formalities of the house (both parties shall go to the exchange to verify and sign). Details of the transfer formalities will be undertaken by the agent and Party A and Party B shall assist in the process. The expenses occurred in the transfer shall be paid by Party B. When signing this contract, Party B shall pay RMB (in words) Nine Thousand and Four Hundred Yuan (￥9,400 Yuan) to the agent as agency fee.

四、甲方应于X年X月X日立契日将房屋交付给乙方，并将与房屋有关的单据证件同时交付给乙方。甲方应保证转让房屋的权属清楚，无产权或债务纠纷，否则所有责任由甲方承担，因此给乙方造成的经济损失由甲方赔偿。

IV.Party A shall deliver the house to Party B on the date of contract and hand over all the documents and certificates related to the house to Party B on the same day. Party A shall guarantee that the transferred house has clear ownership, without any dispute of property right or over obligation. Otherwise, Party A shall assume all the responsibilities and compensate Party B for the losses as incurred therefrom.

五、违约责任：乙方违约，不得向甲方索还定金；甲方违约，应双倍返还定金给乙方。未尽事宜，按照《合同法》所规定执行。

V. Responsibility for breach of contract: if Party B violates the contract, Party B shall not ask Party A to return the down payment; if Party A violates the contract, Party A shall return the down payment to Party B in double. All pending issues shall be subject to the provisions in Contract Law.

六、争议解决：买卖双方如因合同发生纠纷，应尽量协商解决，协商不成，任何一方均有权向人民法院起诉。

VI. Dispute resolution: For the disputes occurred during the performance of the contract, both parties shall try to solve through negotiation. Where the negotiations fail, any party can file a lawsuit in the People’s court.
